These Terms & Conditions ("Terms") govern your access to and use of QRSignal (the "Service"), a QR campaign analytics platform operated by QR Signal ("QR Signal", "we", "us", "our"). By creating an account, accessing or continuing to use the Service, you agree to these Terms. If you are agreeing on behalf of an organisation, you confirm you have authority to bind that organisation; if you are agreeing as an individual, you confirm you are of legal age to enter into a contract.
1. The Service
QRSignal lets you create dynamic QR codes, route scans to destination URLs, and measure scans, attribution, conversions and campaign return on investment. Features available to you depend on the plan you select - see our pricing page.
2. Accounts and acceptable use
You must provide accurate registration information and keep it up to date, and you are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must not:
- use the Service for any unlawful purpose, or in breach of any applicable law or regulation;
- use the Service for fraud, phishing, spam, malware distribution or deceptive redirects;
- infringe the intellectual property, privacy or other rights of any person;
- interfere with or compromise the security or integrity of the Service, including probing, scanning, scraping, circumventing technical limits, or attempting unauthorised access; or
- reverse engineer, resell or redistribute the Service except as expressly permitted.
3. Licence and intellectual property
Subject to these Terms, QR Signal grants you a limited, non-exclusive, non-transferable right to use the Service within the plan you have selected. QR Signal retains all ownership of the Service and all related intellectual property, including its software, documentation and branding. You retain ownership of the content and data you upload; you grant us a limited licence to host and process it solely to provide the Service.
4. Service availability
We work to keep the Service available and reliable, but we do not guarantee that it will be uninterrupted, timely, secure or error-free. To the fullest extent permitted by law we disclaim all implied warranties, including merchantability and fitness for a particular purpose.
5. Payment, subscriptions and taxes
Paid plans are billed in advance on a monthly or annual basis, in GBP, and renew automatically until cancelled. You may cancel at any time from your billing settings; cancellation takes effect at the end of the current paid period, and you retain access until then. Prices are shown on our pricing page and exclude any applicable sales tax or VAT, which is calculated at checkout.
Payment, billing, invoicing, tax and cancellation mechanics are handled by our reseller. Full details are set out in Paddle's Buyer Terms. Refunds are covered by our refund policy.
6. Merchant of Record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
7. Suspension and termination
We may suspend or terminate your access where there is a material breach of these Terms, non-payment, a security or fraud risk, or repeated or serious policy violations. You may stop using the Service and close your account at any time. On termination, you may export your campaign and scan data for 30 days, after which it may be deleted or anonymised.
8. Liability
To the fullest extent permitted by law, QR Signal's aggregate liability arising out of or relating to the Service is limited to the fees you paid in the 12 months preceding the claim. We exclude liability for indirect, consequential or special damages, including loss of profits, data or goodwill. Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.
9. Indemnity
You will indemnify QR Signal against claims arising from your content, your unlawful use of the Service, or your breach of these Terms.
10. Changes, assignment and governing law
We may update these Terms; material changes will be notified in advance where reasonably practical, and continued use after the effective date constitutes acceptance. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
